Dala mu p\u0159ednost p\u0159ed nab\u00eddkami konkuren\u010dn\u00edch v\u00fdrobc\u016f aut. Na ud\u00e1lost zavzpom\u00ednal v t\u00fdden\u00edku Ekonom tehdej\u0161\u00ed ministr stroj\u00edrenstv\u00ed a elektrotechniky Miroslav Gr\u00e9gr.<\/strong><\/p>\n<p>\u201eV porevolu\u010dn\u00ed ekonomice byla b\u011b\u017en\u00fdm jevem takzvan\u00e1 druhotn\u00e1 platebn\u00ed neschopnost, v r\u00e1mci kter\u00e9 podniky nebyly schopny platit za dod\u00e1vky jeden druh\u00e9mu. Nem\u011bly vlastn\u00ed kapit\u00e1l, \u00fav\u011brov\u00e9 sazby n\u00e1hle vzrostly ze \u010dty\u0159 na 24 procent. P\u0159itom ale st\u00e1le fungoval da\u0148ov\u00fd syst\u00e9m, ve kter\u00e9m firmy st\u00e1tu odv\u00e1d\u011bly ze zisku 65 procent, odvod z mezd tehdy \u010dinil pln\u00fdch 50 procent. Mladoboleslavsk\u00e1 automobilka nebyla v\u00fdjimkou. Firma byla sice technicky na \u00farovni, ale ve v\u00fd\u0161e popsan\u00e9m syst\u00e9mu se zadlu\u017eila a nem\u011bla u\u017e ani prost\u0159edky na n\u00e1kup karos\u00e1\u0159sk\u00fdch plech\u016f. Hrozilo j\u00ed zastaven\u00ed v\u00fdroby. Situaci jsem proto musel \u0159e\u0161it spole\u010dn\u011b s m\u00edstop\u0159edsedou vl\u00e1dy Franti\u0161kem Vlas\u00e1kem,\u201c vzpom\u00edn\u00e1 exministr v rozhovoru s \u0161\u00e9fredaktorem Automakers Erichem Handlem.<\/p>\n<p>Bylo podle n\u011bj z\u0159ejm\u00e9, \u017ee samostatn\u00e9 \u0160kodovce hroz\u00ed z\u00e1nik. \u201eRozhodli jsme se proto privatizaci podniku, kter\u00e1 by zajistila pokra\u010dov\u00e1n\u00ed existence firmy. M\u011bla p\u0159edstavovat pilotn\u00ed projekt pro celou ekonomiku,\u201c uvedl Gr\u00e9gr.<\/p>\n<p><strong>Pro\u010d m\u011bla b\u00fdt pilotem zrovna \u0160koda?<\/strong><\/p>\n<p>Automobilky vytv\u00e1\u0159\u00ed ze v\u0161ech pr\u016fmyslov\u00fdch podnik\u016f nejv\u011bt\u0161\u00ed multiplika\u010dn\u00ed efekt. Produkce automobil\u016f u\u017eiv\u00ed 6-8n\u00e1sobek lid\u00ed, ne\u017e pracuje ve vlastn\u00ed tov\u00e1rn\u011b. Spole\u010dn\u011b s v\u00fdrobou aut se pozvedne cel\u00e1 \u0159ada dal\u0161\u00edch odv\u011btv\u00ed.<\/p>\n<p><strong>Jak\u00e9 podm\u00ednky byly pro privatizaci stanoveny?<\/strong><\/p>\n<p>Stanovil jsem pro z\u00e1jemce p\u011bt z\u00e1kladn\u00edch krit\u00e9ri\u00ed:<\/p>\n<ul>\n<li>zachov\u00e1n\u00ed tov\u00e1rn\u00ed zna\u010dky \u0160koda<\/li>\n<li>zachov\u00e1n\u00ed komplexn\u00ed automobilov\u00e9 v\u00fdroby<\/li>\n<li>zachov\u00e1n\u00ed v\u00fdzkumu a v\u00fdvoje<\/li>\n<li>zachov\u00e1n\u00ed obchodn\u00ed s\u00edt\u011b pod hlavi\u010dkou \u0160koda<\/li>\n<li>zachov\u00e1n\u00ed zam\u011bstnanosti kolem 13 000 pracovn\u00edk\u016f<\/li>\n<\/ul>\n<p><strong>Jac\u00ed z\u00e1jemci se do v\u00fdb\u011brov\u00e9ho \u0159\u00edzen\u00ed p\u0159ihl\u00e1sili?<\/strong><\/p>\n<p>Z\u00e1jem projevila cel\u00e1 \u0159ada sv\u011btov\u00fdch v\u00fdrobc\u016f. Pat\u0159ila mezi n\u011b t\u0159eba Toyota nebo americk\u00fd General Motors. Ve h\u0159e bylo tak\u00e9 BMW. O tendr se zaj\u00edmal t\u0159eba i n\u011bmeck\u00fd Mercedes-Benz, ale nakonec se uk\u00e1zalo se, \u017ee cht\u011bl jen z\u00edskat t\u00edmto zp\u016fsobem informace. Mezi v\u00e1\u017en\u00fdmi kandid\u00e1ty nakonec z\u016fstal n\u011bmeck\u00fd Volkswagen a francouzsk\u00fd Renault. Tito dva v\u00fdrobci tak\u00e9 postoupili do fin\u00e1le v\u00fdb\u011brov\u00e9ho \u0159\u00edzen\u00ed.<\/p>\n<p><strong>Oba z\u00e1jemci souhlasili se stanoven\u00fdmi podm\u00ednkami?<\/strong><\/p>\n<p>Ano, ob\u011b automobilky s p\u011bti hlavn\u00edmi krit\u00e9rii souhlasily. Pro fin\u00e1ln\u00ed v\u00fdb\u011br se tedy stanovilo dal\u0161\u00edch 36 hodnot, na jejich\u017e zn\u011bn\u00ed se pod\u00edlela mimo jin\u00e9 ekonomick\u00e1 fakulta \u010cVUT Praha.<\/p>\n<p><strong>Jak\u00fdm zp\u016fsobem d\u00e1le v\u00fdb\u011brov\u00e9 \u0159\u00edzen\u00ed prob\u00edhalo?<\/strong><\/p>\n<p>N\u00e1sledovaly ofici\u00e1ln\u00ed cesty k ob\u011bma uchaze\u010d\u016fm. Spole\u010dn\u011b s Franti\u0161kem Vlas\u00e1kem a podnikov\u00fdm \u0159editelem \u0160kody Petrem D\u011bdkem jsme nav\u0161t\u00edvili centr\u00e1lu Volkswagenu ve Wolfsburgu, pod\u00edvali jsme se tak\u00e9 do tov\u00e1rny jejich dce\u0159in\u00e9 firmy SEAT v Barcelon\u011b. Zrovna tak jsme absolvovali cestu do Renaultu, kter\u00fd m\u011bl tehdy dv\u011b z\u00e1kladny \u2013 v\u00fdrobu v Douai a centr\u00e1lu Pa\u0159\u00ed\u017ei. Pot\u00e9 oba z\u00e1jemci podali nab\u00eddku na z\u00e1klad\u011b v\u00fd\u0161e zm\u00edn\u011bn\u00fdch 36 krit\u00e9ri\u00ed.<\/p>\n<p><strong>Kdo nab\u00eddky posuzoval?<\/strong><\/p>\n<p>St\u00e1tn\u00ed \u00fa\u0159edn\u00edci spole\u010dn\u011b s najatou poradenskou firmou Price Waterhouse. Tu posl\u00e9ze vyst\u0159\u00eddala v tendru Credit Suisse First Boston.<\/p>\n<p><strong>Francouzsk\u00fd Renault podle dostupn\u00fdch informac\u00ed vyv\u00edjel politick\u00e9 tlaky, aby \u0160kodu z\u00edskal.<\/strong><\/p>\n<p>Na m\u011b \u017e\u00e1dn\u00fd tlak nebyl. Pravdou je, \u017ee Francouzi se sna\u017eili z\u00edskat si sympatie \u010desk\u00e9 strany a osobn\u00ed kontakt s nimi byl skv\u011bl\u00fd. Tehdej\u0161\u00ed \u0161\u00e9f Renaultu Raymond Levy dokonce sl\u00edbil, \u017ee se v p\u0159\u00edpad\u011b v\u00edt\u011bzstv\u00ed v tendru nau\u010d\u00ed \u010desky. Volkswagen zase siln\u011b podporovaly odbory ve \u0160kod\u011b. Ale o privatizaci nakonec rozhodovaly technick\u00e9 parametry.<\/p>\n<p><strong>Jak se ke stanoven\u00fdm krit\u00e9ri\u00edm finalist\u00e9 postavili?<\/strong><\/p>\n<p>Ve v\u0161ech parametrech se um\u00edstil Volkswagen na prvn\u00edm m\u00edst\u011b. N\u011bmci m\u011bli jasn\u011b lep\u0161\u00ed nab\u00eddku. Volkswagen tak v tendru zv\u00edt\u011bzil a 21. prosince 1990 se podepisovala pod televizn\u00edmi reflektory v budov\u011b ministerstva Stroj\u00edrenstv\u00ed a elektrotechniky na pra\u017esk\u00e9m Franti\u0161ku privatiza\u010dn\u00ed smlouva.<\/p>\n<p>Kdo je na smlouv\u011b podeps\u00e1n?<\/p>\n<p>Za koncern Volkswagen to byli p\u00e1nov\u00e9 Carl Hahn a Volkhard K\u00f6hler. Za moje ministerstvo jsem to byl j\u00e1, za ministerstvo pro spr\u00e1vu majetku a privatizaci Tom\u00e1\u0161 Je\u017eek. \u0160koda byla zastoupena Petrem D\u011bdkem.<\/p>\n<p>T\u00edm aktem u\u017e byla \u0160kodovka zprivatizov\u00e1na?<\/p>\n<p>Spolkov\u00e1 republika je\u0161t\u011b musela d\u00e1t Volkswagenu potvrzen\u00ed o bezrizikovosti akce, jeho vystaven\u00ed trvalo a\u017e do b\u0159ezna 1991. Potom byl u\u017e podnik v n\u011bmeck\u00fdch rukou.<\/p>\n<p>\u0160koda \u010delila finan\u010dn\u00edmu kolapsu. Pro\u010d nebyla mezi podm\u00ednkami privatizace finan\u010dn\u00ed injekce na z\u00e1chranu automobilky?<\/p>\n<p>P\u016fj\u010dka zadan\u00e1 u\u017e v krit\u00e9ri\u00edch by nep\u016fsobila dobr\u00fdm dojmem. Jej\u00ed poskytnut\u00ed se dohodlo a\u017e po rozhodnut\u00ed o v\u00edt\u011bzstv\u00ed Volkswagenu v tendru.<\/p>\n<p>Jak\u00fdm zp\u016fsobem Volkswagen nakonec napumpoval do \u0160kody pen\u00edze pot\u0159ebn\u00e9 na jej\u00ed z\u00e1chranu?<\/p>\n<p>\u0160lo o formu p\u0159edb\u011b\u017en\u00e9 p\u016fj\u010dky, kter\u00e1 \u0160kod\u011b zajist\u00ed pokra\u010dov\u00e1n\u00ed v existenci. Podeps\u00e1na byla 21. prosince 1990 \u0161\u00e9fem IPB Ji\u0159\u00edm Tesa\u0159em a z\u00e1stupci Volkswagenu, garantem \u00fav\u011bru byl Franti\u0161ek Vlas\u00e1k. Koncern Volkswagen pot\u00e9 p\u0159evedl do IPB z\u00e1kladn\u00ed \u010d\u00e1stku 120 milion\u016f DM, podle tehdej\u0161\u00edho kursu marky ke korun\u011b asi dv\u011b miliardy korun. Tato suma byla dr\u017eena dle smlouvy o \u00faschov\u011b jako depozitum VW, kter\u00e9 bylo pou\u017eito na n\u00e1kup akci\u00ed \u0160kody. Byla to ur\u010dit\u00e1 kamufl\u00e1\u017e skute\u010dnosti, \u017ee jde o \u00fav\u011br nutn\u00fd k z\u00e1chran\u011b tov\u00e1rny.<\/p>\n<p>Dnes si kdekdo p\u0159ipisuje pod\u00edl na \u00fasp\u011b\u0161n\u00e9 privatizaci. Jak\u00fd bylo skute\u010dn\u00e9 pod\u00edlnictv\u00ed jednotliv\u00fdch akt\u00e9r\u016f na \u010desk\u00e9 stran\u011b na privatizaci?<\/p>\n<p>Privatizace byla d\u00edlem m\u00fdm, Franti\u0161ka Vlas\u00e1ka a pracovn\u00edk\u016f ministerstva stroj\u00edrenstv\u00ed a elektrotechniky. Jmenovit\u011b bych zm\u00ednil jeho n\u00e1m\u011bstky Va\u0161icu a Kub\u00ed\u010dka \u010di Petra Nov\u00e1ka a Jaroslava Du\u0161ka. Za \u0161kodovku krom\u011b zm\u00edn\u011bn\u00e9ho Petra D\u011bdka vystupoval doktor Kopeck\u00fd, aktivn\u00ed byl tak\u00e9 konstrukt\u00e9r Favorita Petr Hrdli\u010dka. Akce se krom\u011b dal\u0161\u00edch \u00fa\u010dastnil nap\u0159\u00edklad tak\u00e9 Mojm\u00edr \u010capka, nyn\u011bj\u0161\u00ed majitel Brisku T\u00e1bor. Naopak pod\u00edl \u0159ady politik\u016f, kte\u0159\u00ed se ob\u010das sv\u00fdm vlivem na proces prodeje spole\u010dnosti chlub\u00ed, byl minim\u00e1ln\u00ed. M\u00e1m t\u00edm na mysli tehdej\u0161\u00edho p\u0159edsedu vl\u00e1dy Petra Pitharta, ministra financ\u00ed V\u00e1clava Klause nebo t\u0159eba \u0161\u00e9fa Fondu n\u00e1rodn\u00edho majetku Tom\u00e1\u0161e Je\u017eka, jeho\u017e \u00fa\u010dast v akci byla jen nomin\u00e1ln\u00ed. N\u011bkte\u0159\u00ed si dokonce p\u0159\u00e1li ponech\u00e1n\u00ed automobilky v \u010desk\u00fdch rukou.<\/p>\n<p>\u010casto se zmi\u0148uje zvl\u00e1\u0161tn\u00ed role Hanu\u0161e Holzera, \u010desk\u00e9ho emigranta v N\u011bmecku, kter\u00fd zhruba p\u0159ed \u010dty\u0159mi roky zem\u0159el. Tehdy pr\u00fd hodn\u011b pomohl Volkswagenu k v\u00edt\u011bzstv\u00ed.<\/p>\n<p>S Hanu\u0161em jsme se dob\u0159e znali, byl tehdy u\u017eite\u010dnou spojkou mezi mnou a doktorem Hahnem. Dok\u00e1zal pro m\u011b do druh\u00e9ho dne sehnat dopl\u0148uj\u00edc\u00ed informace z n\u011bmeck\u00e9 strany. Jeden den obdr\u017eel dotaz a u\u017e druh\u00fd den r\u00e1no sed\u011bl v sekretari\u00e1tu ministerstva a m\u011bl Hahn\u016fv n\u00e1zor \u010di rozhodnut\u00ed. Odvedl kus pr\u00e1ce v lobbyingu, ale jeho role je p\u0159esto trochu p\u0159ece\u0148ov\u00e1na.
